About us and these terms
Freelance Guru at https://freelance-guru.com is operated by QUANTROQ LIMITED, a company registered in England and Wales under number 17491089, with registered office at 9 Studio, 50-54 St Paul's Square, Birmingham, United Kingdom, B3 1QS
. Contact us for support, complaints and legal notices at [email protected].
These Terms govern our platform services to clients and freelancers. Our Payment and Payout Policy, Cancellation and Refund Policy and Dispute Resolution Policy form part of these Terms; our Privacy Policy and Cookie Policy explain data practices and are not a blanket request for consent.
For payment calculations, the Payment and Payout Policy supplies the detailed rules; for refunds and disputes, the respective policies apply. A conflicting clause must not be interpreted to remove a mandatory right. Material commercial terms cannot be changed for an existing order without the parties’ agreement and any required consent.
Eligibility and accounts
Users must be at least 18 and have legal capacity to contract. A person acting for a business must be authorised to bind it and identify the business accurately.
You must provide accurate account, contracting and payment information, protect account access, and notify us promptly of suspected compromise. You must not impersonate others, sell access to your account or conceal the real contracting party.
Services are available only where their use is lawful and the relevant payment and payout routes are supported. We may decline a new account or order on objectively justified legal, security, geographic or provider-eligibility grounds. Restrictions do not automatically extinguish an existing refund or payment entitlement.
Who contracts with whom
QUANTROQ supplies access to the marketplace, order-management tools, communications, support and the payment coordination features described in these policies. Unless an offer expressly identifies QUANTROQ as the service supplier under separate terms, the work contract is directly between the identified client and freelancer.
Freelancers must state whether they act as a business/trader or in a private capacity and provide the identity and contact details required for the transaction. Clients must be shown the supplier’s identity and status before placing an order. Some statutory consumer protections concern trader-to-consumer transactions and may not apply to a genuinely private supplier; mandatory obligations still apply to our own platform service where relevant.
A freelancer is responsible for its work, availability, tax treatment and lawful performance. These Terms do not themselves make freelancers our employees or authorise them to represent QUANTROQ. Actual legal status depends on the relevant facts and law, not solely on this label.
Creating a work contract
A listing or proposal is not an unlimited commitment to supply every related task. Before acceptance, the order must identify the parties, brief, deliverables, work price, currency, timeline, included revisions, dependencies and any agreed special licence or confidentiality terms.
A client submits a hire offer and authorises the required funding. The work contract forms when the freelancer accepts the offer and the agreed funding arrangement confirms that the order may begin; if either condition is missing, work must not be presented as a funded contract.
Declined or expired offers do not earn platform fees and their reserved amounts must be released or refunded under the payment rules. Both parties receive a durable order record. Changes to scope, price or deadline require recorded agreement; a portfolio rate alone is not authority for open-ended hourly charging.
A freelancer must perform with the skill, care and quality required by the contract and applicable law. The client must provide agreed inputs and access on time. Either party should raise impediments promptly and agree a revised deadline rather than falsely marking incomplete work delivered.
Fees and funding
The platform fee is 8% of the gross work remuneration payable to the freelancer, deducted when that remuneration is released for payment following final acceptance or an authorised partial settlement. No separate client platform fee applies. Posting, proposals, ordinary messaging and included revisions carry no separate platform charge.
The work price, 8% deduction and expected net freelancer earnings must be displayed before the freelancer accepts. The same earnings are not charged again when an available balance is withdrawn or paid in several technical transfers; these Terms impose no fixed-fee minimum order price.
For a €500 total work price, the client pays €500, the platform fee is €40 and the freelancer receives €460. The 8% deduction includes any VAT applicable to the platform fee; any tax on the underlying work must be correctly included or identified in the total work price before commitment.
Funding, fee earning, proportional adjustments, refunds and payouts are governed by the Payment and Payout Policy. No undisclosed surcharge is authorised by these Terms.
Payment-funded orders, top-ups and payouts are available only when the required provider arrangement is active and supports the transaction. A displayed balance is not, by itself, a bank account, savings product, payment licence or promise of deposit insurance; do not send money through an unsupported or unapproved route.
Delivery and the 72-hour review period
The freelancer must submit the actual agreed deliverables through the order’s delivery facility and identify how they meet the brief. A message saying “complete”, an inaccessible link, an empty file or materially missing deliverables is not a qualifying delivery.
The client has three calendar days, defined as 72 consecutive hours, to accept, submit specific comments or open a dispute. The period starts only when the complete delivery is accessible and the platform has both recorded an in-account delivery notice and sent notification to the client’s registered email.
The notice must state the exact deadline. Within the period, the client may accept the work or describe the respects in which it fails to match the agreed brief. A request for unrelated extra scope is subject to a separate agreement and is not automatically an included revision.
If the client neither accepts nor provides feedback or opens a dispute within the period, the platform may record automatic acceptance. It must not do so while a timely revision request or dispute is pending, while delivery is inaccessible or materially incomplete, or where a recorded notification failure or material platform outage prevented review; in such cases a fresh complete period must be provided when the problem is resolved.
Automatic acceptance authorises the contractual settlement process; it is not proof that defective work complies with the contract and does not waive mandatory remedies, fraud claims or rights concerning defects that could not reasonably have been identified during review.
Revisions
The agreed price includes up to three rounds of revisions within the original brief. Each round consists of consolidated, reasonably specific comments and a revised delivery addressing them. Ordinary clarification messages are not separately counted as rounds.
The parties must record a reasonable revision deadline. Every qualifying revised delivery triggers a new 72-hour review period and notification. A pending revision request prevents automatic acceptance of the superseded delivery.
After three rounds, unresolved non-conformity may be referred to the dispute process. The limit does not force acceptance of defective work, restrict statutory repeat-performance rights or allow additional charges merely to make the original work conform; genuinely new scope can be priced by separate agreement.
Settlement and cancellations
Subject to the narrowly defined lawful restrictions in the Payment and Payout Policy, freelancer payouts are processed within 1–3 business days following final express or valid automatic acceptance. The relevant business-day clock, payout evidence and exceptional holds are set out there.
Unused, uncommitted cash balances may be returned to the original payer. Order cancellations, refunds of fees, partial settlements and consumer rights are governed by the Cancellation and Refund Policy. Neither a label of “escrow” nor a contractual review period makes all payments non-refundable.
Rights in work and content
The client retains rights in its pre-existing material; the freelancer retains rights in its pre-existing tools, methods and reusable background material. Each party grants the other the limited permissions necessary to carry out the order lawfully.
Unless a different licence is clearly agreed before ordering, the freelancer agrees to assign to the client the transferable intellectual-property rights in the bespoke final deliverables it creates for the order, to the extent legally possible, once the client has paid the full agreed work price and the freelancer’s contractual entitlement has been released following final acceptance. The freelancer must execute reasonable further documents needed to complete that assignment. A technical delay in transferring an already released entitlement to a bank does not by itself revoke the client’s rights.
Assignment does not include third-party or pre-existing components. Before delivery, the freelancer must identify such components and provide licences sufficient for the expressly agreed use, including relevant open-source conditions. Non-transferable rights remain subject to applicable law; moral-rights consents or waivers are only given to the extent lawful and necessary for the agreed use.
The freelancer must disclose material use of generative AI where it affects originality, rights, confidentiality or a client’s stated requirements. Neither party may upload the other’s confidential information into external AI services without authorisation. No warranty of exclusive copyright in unprotectable AI-generated material may be implied.
We receive only the permissions reasonably required to host, display, transmit and administer submitted content. Public profile material may be displayed for its intended marketplace purpose, but private deliverables may not be used in platform advertising or AI training merely because they were uploaded.
Confidentiality and personal data in projects
Each party must protect non-public business information received for the project, use it only for the project, and restrict disclosure to authorised recipients or disclosures required by law. Exceptions include information lawfully known beforehand, independently developed, public without breach, or lawfully received without restriction.
Where a freelancer processes personal data on a client’s instructions, the parties must put any required data-processing agreement in place before that processing begins. These general terms are not a substitute for an Article 28 agreement or approval to transfer sensitive client data internationally.
Complaints, suspension and liability
We may investigate suspected misuse and apply proportionate restrictions under these Terms. Where lawful, we will give reasons and a route to review. Account closure does not automatically forfeit earned remuneration or unused funds, and any continued retention must have a specific contractual or legal basis.
We are responsible for our own contractual obligations and conduct. We do not guarantee every freelancer’s performance, uninterrupted third-party services or a particular business outcome, but these statements do not exclude liability that the law prevents us from excluding.
Nothing excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or non-excludable statutory rights. For business users only, we exclude indirect or consequential loss to the extent legally permitted, but not amounts properly payable, refundable or held for a user; no blanket fee-based cap is imposed by these Terms.
Changes, governing law and contact
We will provide reasonable advance notice of material changes and apply them prospectively. We will not retroactively increase fees or alter an existing order’s acceptance rules without the required agreement; urgent legal or security changes may require earlier implementation with an explanation where lawful.
These platform Terms are governed by the law of England and Wales. Courts of England and Wales have jurisdiction for business disputes; consumers retain mandatory protections and rights to bring proceedings in their home jurisdiction where applicable.
The internal dispute process is not compulsory binding arbitration and does not prevent court proceedings or mandatory payment remedies. Contact [email protected] for an accessible copy, cancellation notice, complaint or other assistance.
